Senior Counsel, NA Commercial Legal

Informatica is looking for a Senior Counsel with experience in software, SaaS (Cloud), partner, procurement and other agreements to join our team. You will report to our Sr. Director and Associate General Counsel, NA Commercial Legal.

As a Senior Counsel, you will negotiate on-prem, SaaS (Cloud), partner, procurement and other agreements involving a variety of complex and evolving issues. You will also provide programmatic support for important business initiatives and transactional process improvements. Working as the Senior Counsel, you have technical, communication, collaboration, and leadership skills. This is a hands-on individual contributor role in which you will work with customers, vendors, partners, senior executives and other internal clients across multiple organizations including Sales, Finance, and Procurement.

Your Role Responsibilities? Here's What You'll Do

• Structure, review and negotiate outbound (revenue) commercial software and Cloud services agreements, with a primary focus on public sector transactions, partner, and procurement contracts.
• Manage risk and ensure business and compliance needs are accurately reflected in agreements
• Respond promptly to the demands of an active technology sales team and their management
• Support business initiatives, new go to market structures and programs and other projects

What We'd Like to See

• Experience drafting, reviewing and negotiating complex software, SaaS, services, partner and procurement agreements
• Significant experience relating to software and SaaS-centric issues, such as revenue recognition, tax, privacy, security, HIPAA, GDPR, intellectual property rights etc.
• Strong analytical, drafting, communication, collaboration and negotiation skills
• You have curiosity and a desire for learning
• Experience dealing with ambiguity and developing creative and pragmatic solutions for complex and evolving issues in a rapidly changing environment
• Demonstrate impeccable integrity

Role Essentials

• Minimum 8+ years of relevant professional experience with undergrad degree or professional training
• BA/BS or equivalent educational background
• Juris Doctorate or equivalent from an accredited major law school and licensed to practice in the United States
• Minimum of 5 years of experience with some in-house commercial licensing/SaaS experience
